I EMPOWERED AMBITION when i assisted a ceo and coo with the transfer of vested non-qualified stock options at a low APPRAISED value to irrevocable trusts prior to an anticipated fda regulatory approval and the company’s IPO.

By educating the executives on the importance of pre-transaction estate planning, they empowered their Board and majority private equity shareholder to understand the need to amend the company’s existing Stock Option Plan. The revised Plan recognized their irrevocable trusts as permitted shareholders and altered rules related to the mechanics of option exercise and income tax withholdings. In doing so, the executives succeeded in removing the options from their gross estates as a result of releasing all unintended retained powers caused by the pre-existing language of the Plan.
