Neil Cooper is a Partner of the firm. He focuses his practice primarily on business and corporate law matters, effectively serving as outside general counsel to many of his clients. Among other things, Neil advises clients on structuring, negotiating, and documenting finance transactions, acquisitions and dispositions, solar energy transactions, licensing transactions, and a broad range of business agreements, with emphasis on start-up and emerging growth companies, entrepreneurs, and investors in a variety of industries, especially technology and renewable energy. He also counsels founders, executives, and investors with respect to equity positions, governance, employment arrangements, and agreements among investors. Neil has successfully negotiated hundreds of technology and licensing transactions, including many multi-million dollar, international deals, several involving vendors and service providers from multiple countries. With respect to the solar energy industry, Neil has prepared, reviewed and negotiated acquisition agreements, power purchase agreements, solar system installation agreements, operations and maintenance agreements, and agreements for the purchase and sale of solar renewable energy certificates, and also has structured, negotiated and documented debt and equity financings of solar energy infrastructure.
Neil began his career as a member of the Business & Finance Section of Morgan, Lewis & Bockius LLP, one of the world’s largest law firms. There, he represented both large and small cap companies in numerous securities and finance transactions, including initial public offerings, private placements, venture capital transactions, and mergers and acquisitions. He also counseled clients with respect to a wide variety of corporate and business matters. Wanting to ensure that he truly understood the needs of and issues confronted by clients, Neil became one. He joined EXE Technologies, a leading provider of supply chain execution software, where he was ultimately General Counsel and Corporate Secretary and which grew to over $100 million in revenues, 800 employees, and operations in 15 countries during his tenure. Prior to co-founding RCCB, Neil was a co-founding and co-managing partner of SorinRoyerCooper LLC, named Emerging Growth Law Firm of the Year – USA in 2011 by Lawyer Monthly magazine. Prior to SorinRoyerCooper, Neil was the Managing Member of Cooper Law Group, LLC, a firm that he founded and built to respond to the particular needs of emerging growth, middle market, technology, and life science companies. He recognized such companies too often are under-served by existing legal service providers. He brings to bear 17 years of experience at a large law firm, as a client, and at his own firms, to deliver high-quality legal services specifically tailored to the needs of the emerging growth and middle market sectors.
