Biography

Larissa Castner focuses her practice on corporate and business and cannabis industry groups, and more specifically on general business and corporate counseling as well as business and commercial transactions, debt and equity financing transactions, and mergers and acquisitions. Her areas of concentration are advising her clients in the emerging companies, start-ups, mid-cap/middle market, private equity, healthcare, and cannabis industries.

  • Represented the founder and sole shareholder of a national telecommunications services company in connection with the company’s approximately $26 million sale to a private equity buyer.

  • Represented a private lending fund in connection with various professional practice loans in the aggregate amount of approximately $1.1 million.

  • Represented a private-equity-backed national courier and logistics company in connection with its strategic acquisition of another national courier and logistics company for consideration in excess of $40 million.

  • Represented a custom software design company with operations in the U.S. and Israel in connection with a strategic buyer’s acquisition of substantially all of the assets and liabilities of the company.

  • Represented a local golf club in a uniquely structured sale of land and 97 social memberships to a real estate developer, who will build townhomes on the land and issue the social memberships to townhome purchasers. The purchase price was $9 million, plus possible incentive payments.

  • Represented a national bank in connection with a $13.5 million refinancing and extension of a new term, revolver, and line of credit facilities to a telecom services business.

  • Represented a diversified manufacturing business in connection with its corporate reorganization and approximately $22 million affiliate debt restructuring for tax purposes in contemplation of a sale of certain business lines.

  • Represented a U.S.-based materials technology company in connection with the company’s approximately $27 million stock sale to a Japanese manufacturing company.

  • Represented an alternative energy company in connection with its $15 million convertible note financing.

  • Represented a national bank in an amended credit facility to extend $3 million of additional revolving credit for working capital and the refinancing of an existing $10 million term loan.

  • Represented a specialty transaction services provider (and its private equity owners) in connection with its approximately $70 million sale to another private equity buyer.

  • Represented the sole shareholder of a web hosting company in connection with the company’s approximately $16 million sale to a public hosting and distribution company.

  • Represented a national bank in connection with its $9 million revolving loan to a logistics and distribution services company.
