Biography

Sheila M. Mints is Chair of the firm’s Healthcare Group and has more than 30 years of experience advising healthcare organizations on corporate, regulatory, and tax matters. Drawing on the depth of her background, she helps clients evaluate the legal and tax implications of a wide range of corporate, transactional, regulatory, and governance matters. An experienced tax lawyer, Ms. Mints represents clients before the Internal Revenue Service, the U.S. Tax Court, and state taxation authorities in a variety of tax matters.

CLIENT EXPERIENCE:
  • Advise healthcare professionals, group practices, hospitals, and healthcare organizations on the formation and structuring of joint ventures and strategic affiliations, including management service organizations, clinically integrated networks, and physician-hospital organizations.

  • Counsel clients on private equity investments and sponsor-backed transactions in the healthcare sector.

  • Advise healthcare startups and established businesses on entity formation, regulatory compliance, commercial agreements, and strategic transactions, including acquisitions and sales.

  • Negotiate and draft ownership, buy-sell, retirement, joint venture, independent contractor, consulting, and restrictive covenant agreements.

  • Represent healthcare providers and organizations in governmental and commercial investigations related to billing and coding practices.

  • Negotiate contracts with commercial payors and healthcare vendors.

  • Advise on legal and regulatory considerations related to the use of artificial intelligence in healthcare operations and clinical settings.

Healthcare Litigation, Investigations & Enforcement
  • Represented management, officers, directors, employees, and healthcare representatives in class actions, SEC claims, white collar investigations, and civil litigation in state and federal courts.

  • Represented officers and directors of healthcare companies in civil, quasi-civil, and investigative matters before state and federal agencies, boards, departments, and governmental authorities.

  • Represented a physician in a federal investigation and related civil claims involving pharmaceutical purchases through internet and e-commerce platforms.

  • Represented whistleblowers in state and federal litigation involving substance abuse center fraud claims.

Professional Licensure, Audits & Regulatory Matters
  • Represented nurses, nurse practitioners, dentists, and other healthcare professionals under investigation and/or facing licensure and disciplinary proceedings.

  • Represented pain management physicians in audits, subpoenas, and investigations involving prescriptions, insurance coverage, reimbursement, and related disputes.

Healthcare Commercial & Business Disputes
  • Represented physicians in private investment and business disputes, including multi-million-dollar litigation involving franchise and franchise rights.

  • Represented medical groups in reimbursement disputes with national insurance companies.

  • Represented physicians in disputes with internet service providers relating to physician rating and review platforms based on patient feedback and complaints.

Healthcare Employment & Civil Rights Defense
  • Represented physicians, medical groups, and medical practices in employment litigation, including claims of discrimination under state and federal law.

  • Represented clients in matters involving discrimination claims brought by the New Jersey Office of Civil Rights.
